The Role


We are currently seeking an ambitious, energetic and talented corporate Mid Level Associate, with at least 3 to 6 years PQE. This role will include, but is not limited to, the following:


Work closely with multiple clients to advice on large scale, complex cross-border UAE and GCC M&A and other corporate transactions (including private equity clients, SWFs, national and multinational corporations and regional funds and corporate conglomerates).

Drafting and negotiating key transaction documents, taking control of due diligence and disclosure exercises and managing closings with other members of the team. Managing projects to a budget and taking responsibility for providing high level of client service.

Advise on key transaction documents for a variety of deals (such as shareholders' agreements, joint venture agreements, share sale and purchase agreements and ancillary documentation.

Developing relationships with clients including gaining a good knowledge of the client's businesses, economic drivers, market and sector requirements in order to ensure advice is relevant and commercial.

Working as part of a team including assisting with the supervision of junior lawyers' work, and taking an active part in sharing knowledge and experience with the team

Associates are given regular and direct contact with clients, with a culture based on associates being given the level of responsibility they are ready for, rather than a PQE based method of work allocation.

There are regular opportunities for secondments with clients. Posting to other offices under the firm's associate transfer programme is also a possibility.

Advise on UAE and GCC foreign investment regulations and licensing processes.

Engaging in business development activities and being active in the promotion of the firm and seeking opportunities for new work principally through supporting the Partners team.

The Team


The Corporate department provides high level of M&A (public and private) services to a wide range of clients as well as advisory services covering a wide-range of corporate/commercial matters including foreign investment, capital markets, competition, commercial and regulatory, real estate, government contracts, commercial agency and franchising, to a wide range of clients. Clients include private equity funds, publically listed companies, sovereign wealth funds, financial institutions and major national and multinational corporations. Our practice is broad, and much of what we do is cross-border.


The UAE Corporate Team is a large team and we work across 6 key industry groups: Consumer Goods & Retail, Energy Mining & Infrastructure, Financial Institutions, Healthcare, Industrials, Manufacturing & Transportation, Technology, Media and Telecoms.

This position will be within the Corporate M&A team. The Junior Associate will primarily support our Corporate Team in UAE. As the Practice is fast growing, the prospects of career promotion are promising for the right candidate.

Key Skills and Experience Required


The successful candidate will be able to demonstrate all or the majority of the following:


A qualified lawyer with excellent academic credentials.

Current experience in the Corporate/Mergers & Acquisitions department of a leading firm

First rate technical skills needed to support the client work of the department

Excellent English communication skills (fluency in reading, writing, speaking and ability to translate and/or review translations), Arabic is a benefit.

Experience in and strong understanding of corporate transactions.

Commerciality and demonstrable business development experience

Strong client service orientation - a "client first" culture.

Ability to develop strong relationships with clients and to take responsibility for this relationship.

Qualifications

 

Requirements:


Bachelor’s degree in real estate, business, finance or engineering

MBA in Finance/Qualified accountant (CA/CPA) preferred

6 to 8 years

Business capabilities

Advanced excel skills with proven financial modeling experience

Excellent analytical capabilities and hands on experience in MS Office presentations

Strong presentation, reporting and communication skills

Experience in Education sector is desirable but not mandatory.

Interpersonal skills

Ability to liaise effectively business functions in order to collect input required for analysis

Ability to be detail focused when required whilst maintaining sight of the big picture

Deadline oriented and take ownership of work

RESPONSIBILITIES:

Role and Responsibilities


Work as a Cyber Threat Intel Analyst in DTS Solution – HawkEye CSOC cyber command center.

Analyze and research known indicators, correlate events, identify malicious activity, and discover new sources to provide early warning related to a variety of Cyber threats.

Monitor Open Source information feeds and threat actor activity to identify activity levels and indicators for Cyber threats and Cyber-attacks.

Identify Open Source Intelligence (OSINT) threats relevant to the DTS Solution - HawkEye CSOC customer’s environment and develop relevant reports.

Provide daily (business day) collections, reviews, analysis and filtering of Open Source Intelligence (OSINT) and SOCMINT (Social Media Intelligence)

Identify and investigate malicious actors with the interest and capability to target client and its infrastructure.

Develop and provide a Cyber Threat Intelligence Report, Monthly Report and Quarterly Report and an Annual Report.

Reviews all current threat intelligence feeds in use, categorizes and prioritizes by relevancy.

Provide proactive APT hunting, incident response support, and advanced analytic capabilities.

Analyze threat information reports and intelligence summaries, trends, gaps, and methods of operation.

Review audit logs and identify any unusual or suspect behavior.

Understanding of geo-political dynamics and how they affect the wider cyber threat landscape.

Experience using Cyber Kill Chain.

Expertise on in using Threat Intelligence Platforms (Recorded Future, Flashpoint, Blueliv, Anomali, ThreatIQ etc.)

Expertise in using Digital Risk Management platforms that looks for dark web activities, breaches,

Have a curated list of important threat intel fusion across various sources

Knowledge on dark web and accessing dark web forums, IRCs, chat groups etc.

Knowledge on APT groups and monitoring all activities through handlers

Curate newsletter and social media weekly posts based on weekly activities in the cyberspace.

Qualifications


4+ years of experience on extract and disseminate open source intelligence (OSINT)

Regional expertise as applied to threat actors

Familiarity with alternative analysis techniques and predictive analysis methodology

Experience with conducting intelligence investigations and familiarity with investigative tools, including Maltego, DomainTools, and VirusTotal

Familiarity with Threat Rating Methodology

Experience using Threat Intelligence Platforms (TIPs)
